Coghlan Duffy + Co advises Growing Registry Platform on IPO

Registry Direct Limited (Registry Direct) - an innovative, Melbourne-based registry and shareholder management platform - has today completed its initial public offering (IPO) and listing on the Australian Securities Exchange (ASX).  Coghlan Duffy + Co (CD+Co) is proud to have acted as legal adviser to Registry Direct’s IPO.

Registry Direct’s shares floated today under the ASX ticker code ‘RD1’ at $0.20 per share after raising approximately $2m (before costs).

Registry Direct is one of Australia’s fastest growing online share registry businesses. Registry Direct’s cloud-based platform (Platform) offers enterprise-grade registry services, including CHESS integration, on either a self-service or full-service basis, with innovative, additional functionality designed to enhance shareholder engagement and corporate governance processes.

Recent and impending Government regulatory changes have stimulated the unlisted investment market and the feasibility of employee equity incentives for unlisted companies.  Registry Direct is uniquely positioned to capitalise on this underserviced unlisted market, while continuing to service its established client base of ASX-listed companies.  In this regard, the Platform not only allows its clients to manage its securities registers internally, but it also assists with ESOP reporting requirements, dividend reporting, online security applications and shareholder voting and communications processes (amongst other things).

Coghlan Duffy + Co advises Key Distribution on Joint Venture with Kawada Japan

We are pleased to have advised and acted for Australian toy distributor, Key Distribution, on its recent joint venture with toy wholesaler, Kawada Japan. The parties have joined forces to establish ‘Kawada Australia’ - a new toy distribution business that will seek to capitalise upon Kawada Japan’s extensive product lines and Key Distribution’s expertise in the local market.

Coghlan Duffy + Co advises Practice Ignition on $5 million Series A funding round

We are delighted to have advised Australian accounting start-up, Practice Ignition on its Series A funding round (as recently reported in the AFR - see article here).

The CD + Co team were led by Director John Coghlan, and Associate, Sarah Ward.

The funding round included, among others, prominent Australian venture capital funds: Microequities VC Fund, Right Click Capital and Black Sheep Capital.

Practice Ignition is a tech-accounting company that develops and sells products that enable accounting firms to deploy workflows, create proposals and collect client payments electronically. The company’s products are used by over 1000 accounting practices, across 20 countries.

The transaction is another example of CD + Co’s expertise and experience in managing the capital raising process for start-up clients.
